ORRANET Vendor Terms and Conditions

1. Acceptance of Terms

By registering as a vendor on ORRANET ("the Platform," "we," "us"), you ("Vendor," "you") agree to be bound by these Terms and Conditions. If you do not agree, do not register or use the Platform.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts under Nigerian law to register as a vendor. You must provide accurate, current, and complete information during registration and keep it updated.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Fees

Access to vendor features (listing products, receiving orders, and using your storefront) requires an active paid subscription. Current plans and pricing are displayed on the Platform and may change from time to time; changes will not affect a subscription period you have already paid for. Subscription fees are paid in advance and are non-refundable, except where required by law. Failure to renew before your subscription expires will result in your storefront becoming unavailable to customers and your dashboard access being restricted until you renew.

5. Payments and Payouts

Customer payments made through the Platform's card/bank payment option are processed by Paystack and, where applicable, settled directly to your own registered bank account. ORRANET does not hold or have custody of your sales proceeds processed this way. For orders paid by direct bank transfer, you are responsible for confirming receipt of payment from the customer; ORRANET is not responsible for verifying or guaranteeing such transfers. You are responsible for providing accurate bank account details for payment purposes. ORRANET is not liable for delays or failures caused by incorrect account information you provide, or by Paystack or your bank.

6. Your Responsibilities as a Vendor

You agree to: (a) list only products you are legally entitled to sell; (b) provide accurate descriptions, pricing, and images for your products; (c) fulfil orders promptly and communicate with customers professionally; (d) comply with all applicable Nigerian laws, including consumer protection and tax obligations; (e) not list counterfeit, stolen, illegal, hazardous, or prohibited items, including but not limited to weapons, illegal drugs, and items infringing third-party intellectual property.

7. Platform's Role

ORRANET provides the technology (storefront, order management, payment facilitation) that allows you to sell to customers. ORRANET is not a party to the sale contract between you and your customers and is not responsible for the quality, safety, legality, or delivery of products you list.

8. Delivery and Fulfilment

You are solely responsible for arranging and fulfilling delivery of orders, including setting delivery fees and delivery zones through your dashboard. ORRANET is not a delivery or logistics provider and bears no liability for delivery delays, damage, or loss.

9. Customer Disputes

You agree to handle customer complaints, refunds, and disputes directly and in good faith. ORRANET may, at its discretion, assist with communication but is not obligated to mediate or resolve disputes between you and a customer.

10. Intellectual Property

You retain ownership of the content (product photos, descriptions, business name, logo) you upload, and you grant ORRANET a non-exclusive license to display that content on the Platform for the purpose of operating your storefront. You represent that you own or have the right to use all content you upload.

11. Prohibited Conduct

You may not: use the Platform for fraudulent activity; misrepresent your identity or business; attempt to circumvent the Platform's payment systems; or engage in conduct that harms customers, other vendors, or ORRANET's reputation.

12. Suspension and Termination

ORRANET may suspend or terminate your account, with or without notice, if you breach these Terms, engage in fraudulent or illegal activity, or if required by law. You may close your account at any time; outstanding subscription fees remain non-refundable.

13. Limitation of Liability

To the maximum extent permitted by law, ORRANET is not liable for indirect, incidental, or consequential damages arising from your use of the Platform, including loss of profits, sales, or data.

14. Indemnification

You agree to indemnify and hold ORRANET harmless from claims, damages, or expenses arising from your products, your conduct, or your breach of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.
